Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of Notify My Guest (the "Service"), operated by Spawnr LLC ("we", "our", or "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service is intended for businesses and professional users. By using it, you confirm that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organisation you represent.

The Service

Notify My Guest helps hospitality professionals communicate with their guests and manage related operations. Features include:

• Automated WhatsApp messaging to your guests
• Synchronisation of bookings and calendars with property management systems
• Cleaning coordination and task management
• Message template creation and customisation
• Reporting and activity logs

We may add, change, or remove features over time. Messages are delivered through third-party providers, as described in "WhatsApp and Third-Party Services" below.

Your Account

When you create an account, you agree to:

• Provide accurate, current, and complete information and keep it up to date
• Keep your login credentials confidential and secure
• Notify us promptly of any unauthorised use of your account
• Take responsibility for all activity under your account, including any cleaner or team sub-accounts you invite

Acceptable Use

WhatsApp and Third-Party Services

Messages are delivered through third-party providers, and the Service integrates with third-party platforms such as WhatsApp, payment processors, and property management systems. We are not affiliated with, endorsed by, or sponsored by WhatsApp or Meta.

You are responsible for complying with the terms and policies of WhatsApp and any other platform you use through the Service, and for obtaining your guests' consent to be contacted. WhatsApp may restrict, suspend, or ban phone numbers at its sole discretion. We do not control those decisions and are not liable if your number or account is restricted, suspended, or banned, or for any resulting loss.

Your use of third-party integrations is also governed by those third parties' own terms and privacy policies.

Subscriptions, Trials, and Billing

• Paid plans are described at checkout and on our pricing page, and fees are billed in advance.
• We may offer a 14-day free trial. Unless you cancel before the trial ends, your subscription begins automatically and the applicable fee is charged.
• Subscriptions renew automatically (monthly for monthly plans and annually for annual plans) until cancelled in accordance with these Terms.
• You are responsible for all applicable taxes.
• We may change our prices. We will give you at least 30 days' notice before a price change takes effect, and it will apply from your next renewal.
• If a payment fails, we may suspend or limit your access until payment is received.

Cancellation and Refunds

• You can cancel at any time from your account's billing portal.
• Monthly plans: cancellation takes effect at the end of your current billing month. You keep access until then, and the remaining days are not refunded.
• Annual plans: to avoid automatic renewal for another year, you must cancel at least 30 days before your renewal date.
• Except where required by law, all fees are non-refundable, including for any unused portion of a subscription.
• We may suspend or terminate your access for non-payment or for breach of these Terms.

Service Availability

We work to keep the Service available and reliable, but we provide it "as is" and do not guarantee any particular level of uptime or availability. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or factors beyond our control. We are not liable for any loss resulting from interruptions or downtime.

Intellectual Property

The Service, including its software, design, and content, is owned by Spawnr LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect. You may not copy, modify, distribute, or create derivative works from the Service without our permission.

You keep all rights to the content and data you upload. You grant us the rights necessary to host and process that content in order to provide the Service, as described in our Privacy Policy.

Data and Privacy

You are responsible for the personal data you upload about your guests, including having a lawful basis to share it with us. Our collection and use of personal data is described in our Privacy Policy.

Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that may cause harm or legal risk.

When your account ends, your right to use the Service stops. We handle your data after termination as described in our Privacy Policy. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and indemnification) will remain in effect.

Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Spawnr LLC from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, the content of your messages, your guest data, or your violation of these Terms, applicable law, or any third-party terms, including those of WhatsApp.

Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

If you use the Service from the European Union or another jurisdiction, you may still benefit from mandatory consumer or other protections granted by the law of your country; nothing in these Terms limits those rights where they apply.

Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "last updated" date shown above. Changes take effect when posted, and for material changes we will provide additional notice where required. Your continued use of the Service after changes take effect means you accept the updated Terms.
